Terms of Purchase

Our Pricing Philosophy

We believe you should only pay for software you actively use and love. If you don't like our product, that is our fault, not yours. We reject hidden fees, predatory trap-door contracts, and difficult cancellation loops.

1. The 14-Day "Any Reason" Refund

We offer a completely unconditional 14-day return and revocation policy on all initial purchases of Uplift and our tracking suites.

The No-BS Rule: Within 14 days of your initial purchase, you can cancel your license and request a full refund for any reason. Even if the reason is simply, "I changed my mind and I just don't want to pay for it." We will honor it immediately without putting you through a high-pressure retention sequence.

2. Cancellation After the Refund Window

After the initial 14-day refund window, you may cancel at any time. Your subscription will not renew, and your service will remain available through the end of the current paid billing period, followed by a 24-hour grace period.

How Cancellation Works:

  • First 14 days: Cancellation takes effect immediately and your initial subscription payment is refunded in full, with no questions asked.
  • After 14 days: Cancellation takes effect at the end of your current paid billing period. We do not prorate or refund the remaining time in that period. License validation continues for a 24-hour grace period after the paid period ends.
  • Renewals and failed payments: We aim to send an advance renewal notice before an automatic renewal charge. If a renewal payment fails or the subscription otherwise expires, the same 24-hour grace period applies before the license heartbeat reports the license as inactive.

3. Post-Cancellation & Your On-Premises Architecture

Because your server components (like Uplift) run locally on your hardware, canceling your subscription revokes your legal right to execute the proprietary application code under the EULA. Upon cancellation, and after any applicable 24-hour grace period, the application will gracefully halt its core operations. However, because we believe in complete data sovereignty, we will never lock down, delete, or obscure your raw local data tables. Your underlying database snapshots remain yours to copy or export at any time.

4. Flex-Room & Accommodations

Edge cases happen. Billing systems occasionally glitch, corporate cards get frozen, or teams go through unexpected structural shakeups. We promise to look at billing adjustments humanly. We will always try to accommodate common-sense requests wherever it makes logistical sense, rather than hiding behind cold, automated form letters.

5. Payment and Service Providers

Stripe processes checkout, recurring payments, refunds, and fraud controls. Mesperlon stores the resulting transaction, subscription, license, and cancellation status but does not store complete card numbers. Vercel, Upstash, and Resend support website delivery, operational storage, and transactional email. These providers receive the limited information needed to perform those services, as described in our Privacy Policy.

6. Required License Communications

A paid Uplift server periodically contacts Mesperlon to validate its subscription and check for authorized updates. The license key, hashed installation identifier, software/platform version, timestamp, and network address are operationally necessary for those functions. Optional crash and performance diagnostics are separate and disabled by default.

These Terms of Purchase outline the financial and operational handling of your subscriptions with Mesperlon LLC. Legal parameters governing software liabilities, data processing limits, and warranty disclaimers are thoroughly outlined in our End User License Agreement (EULA). In the event of a structural conflict regarding payment mechanics, this document represents our primary baseline of customer accommodation.
