Operational boundaries, liabilities, and technical realities.

Please Note:

The following disclaimers govern the technical parameters of Uplift, our time tracking software, and our local journaling workflows. Because our software deploys on-premise within your own infrastructure, operational security and safety are a shared responsibility.

1. Local Infrastructure & Hardware Disclaimer

Mesperlon LLC’s applications utilize advanced algorithmic processing, text embedding pipelines, and localized Artificial Intelligence models. Executing these operations requires local compute power. You acknowledge and agree that Mesperlon LLC is not responsible for any hardware degradation, thermal issues, system instability, unexpected electricity costs, or local server failures resulting from running intensive workloads on environments that are insufficiently cooled, unoptimized, or out of spec.

2. On-Premise Environment Security Boundary

While we implement rigorous, industry-leading safeguards within our application code—including rigorous client hashing, multi-factor authentication (MFA), and automated login timeouts—our software ultimately resides within a digital ecosystem managed by You. Mesperlon LLC cannot, and will not, be held liable for data breaches, data exposure, leakages, or malicious unauthorized access resulting from systemic vulnerabilities in your internal networks, insecure hosting configurations, weak local system credentials, or the physical theft of hardware hosting our software.

3. Artificial Intelligence & Metric Accuracy

Our products, including Uplift and our Apple Intelligence integrations, are built to make obscure, deep historical data available to You. However, artificial intelligence outputs and predictive tracking metrics are inherently probabilistic. Mesperlon LLC does not warrant or guarantee that AI-generated summaries, code blocks, journal reflections, or workflow analytics will be 100% accurate, error-free, or contextually perfect at all times. All data outputs should be cross-examined and validated before relying on them for critical corporate decisions.

4. Third-Party Ecosystem & OS Updates

Our client applications interface with native, third-party operating systems and proprietary frameworks (such as Apple Intelligence systems or specific server OS distributions). Mesperlon LLC makes no guarantees regarding the permanent forward-compatibility of our software if an upstream third party fundamentally alters, restricts, or deprecates the underlying APIs, operating system rules, or engine requirements that our systems depend upon.

5. Subscription Discontinuation & Operational Halts

Per our Terms of Purchase, canceling your monthly subscription triggers an immediate, automated pro-rated billing calculation and revokes the operational validity of the proprietary application runtime environment. Mesperlon LLC is not liable for any business interruptions, team slowdowns, or secondary workflow disruptions resulting from the graceful operational shutdown of the Uplift server interface when an active subscription lapses or is explicitly cancelled.

ALL SOFTWARE AND COMPONENT ELEMENTS DELIVERED BY MESPERLON LLC ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMISSIBLE UNDER OHIO LAW, ALL EXPRESS OR IMPLIED WARRANTIES—INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC STRATEGIC PURPOSE, AND OPERATIONAL UPTIME—ARE EXPLICITLY DISCLAIMED. YOUR DEPLOYMENT AND RELIANCE UPON THE ECOSYSTEM ARE UNDERTAKEN AT YOUR OWN DISCRETION AND TOTAL RISK.
